Terms of Service

1. Acceptance of the terms

These Terms of Service (“Terms”) form a binding agreement between you and GraySuit, LLC(“GraySuit,” “we,” or “us”). By clicking “I agree,” creating an account, or using the platform, you accept these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. Definitions

“Platform” means the GraySuit website and related services. “Attorney” means a licensed lawyer who creates a listing. “Client” means a member of the public who uses the Platform to find or contact an Attorney. “Listing” means the profile content an Attorney publishes. “Subscription” means an Attorney's paid listing plan.

3. Eligibility (attorneys)

To list, you must hold an active license to practice law in good standing in a state where GraySuit operates, and you are solely responsible for your own compliance with your jurisdiction's rules of professional conduct, including those governing advertising, solicitation, unauthorized practice, and fees. You represent that the information in your Listing is accurate and that you are authorized to publish it.

4. Nature of the service; no attorney-client relationship

GraySuit, LLC operates a technology marketplace that helps prospective clients find and contact independent attorneys. GraySuit is not a law firm, does not provide legal advice, is not a lawyer referral service, and forms no attorney-client relationship with anyone. We do not recommend or endorse any attorney and never receive any portion of legal fees. GraySuit does not guarantee clients, leads, appointments, case outcomes, or revenue. An attorney-client relationship is formed only when a client and an attorney sign a separate written engagement directly.

5. Attorney responsibilities

You are responsible for: the accuracy of your Listing and self-attested practice areas and fee types; compliance with all unauthorized-practice, advertising, solicitation, and fee rules of your jurisdiction; maintaining your own malpractice coverage; and your own client relationships, engagement terms, and the fees you charge your clients. GraySuit is not a party to, and bears no responsibility for, your engagements with clients.

6. Account registration & security

You must provide accurate registration information and keep your sign-in credentials secure. You are responsible for activity under your account. Authentication is passwordless (magic link or supported single sign-on); protect access to the email you register with.

7. Fees & subscription

Listing is offered on a recurring subscription you select at signup — currently Monthly ($300/month). By subscribing you authorize GraySuit and its payment processor (Stripe) to charge your payment method for the then-current term. Applicable taxes may be added and shown at checkout.

8. When billing begins

Founding attorneys are listed at no charge until they accept their first client connectionthrough GraySuit — that is, until you affirmatively accept a prospective client's consultation request or inquiry from your dashboard. Consultation requests and inquiries require your acceptance before they are confirmed; a prospective client's contact information is provided to you only after you accept and billing is active. Upon your first acceptance, your selected subscription term begins automatically, the fee for that term is charged to your payment method, and the subscription renews each term thereafter until cancelled. Declining or not responding to a request does not begin billing; until your first acceptance, your account remains free and no charge is made. (Attorneys who instead choose a standard plan without the founding offer are charged for the first term at checkout.)

9. Auto-renewal & cancellation

Your Subscription renews automatically at the end of each term unless you cancel before the renewal date. You may cancel at any time from your billing settings. Cancellation stops future renewals and takes effect at the end of the current paid term; your Listing remains active through that term.

10. No refunds

All subscription fees are non-refundable. Once a term begins (upon your first accepted client connection, and upon each renewal), the fee for that term is fully earned and non-refundable, including for any unused portion of the term. Cancelling stops future renewals; it does not refund or prorate the current term.

11. Acceptable use

You agree not to: publish false, misleading, or non-compliant advertising content; impersonate another person or attorney; scrape or bulk-extract Platform data; interfere with the Platform's operation or security; or use the Platform for any unlawful purpose or in violation of your bar's rules.

12. Intellectual property; license to display your Listing

GraySuit and its trademarks, software, and content are owned by us or our licensors. You retain ownership of your Listing content and grant GraySuit a non-exclusive, worldwide license to host, display, and distribute that content on the Platform and in related directory and search results for as long as your Listing is active.

13. Client data & confidentiality

Information clients submit through intake, inquiry, or booking forms is shared with the attorney they contact to evaluate the matter, and is handled per our Privacy Policy. Attorneys must handle client information consistent with their professional obligations.

14. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant any particular outcome, the availability of any attorney, or the accuracy of third-party content.

15. Limitation of liability

To the maximum extent permitted by law, GraySuit is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Platform. Our aggregate liability for any claim is limited to the fees you paid to GraySuit in the twelve months preceding the claim.

16. Indemnification

You agree to indemnify and hold GraySuit harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Listing, your conduct, your violation of these Terms or your bar's rules, or any dispute between you and a client.

17. Dispute resolution & governing law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules. Subject to the binding-arbitration provision below, the state and federal courts located in Georgia have exclusive jurisdiction over any dispute.

Any dispute arising out of these Terms shall be resolved by final and binding arbitration administered under the rules of a recognized arbitration body, on an individual basis only. You and GraySuit waive any right to a jury trial and to participate in a class, collective, or representative action.

18. Modifications to these Terms

We may update these Terms from time to time. Material changes are published here with a new version number and effective date. When the version changes, you may be required to review and re-accept the updated Terms before continuing to use the attorney portal. We do not silently bind you to new terms.

19. Termination

You may stop using the Platform and cancel your Subscription at any time (Section 9). We may suspend or terminate your access for breach of these Terms, non-payment, or conduct that violates applicable law or bar rules. Sections that by their nature should survive termination (e.g., fees owed, disclaimers, limitation of liability, indemnification) survive.

20. Electronic signature & consent (ESIGN / UETA)

You agree to transact with GraySuit electronically. You agree that checking the box indicating your agreement to these Terms, or clicking “I agree,” constitutes your legally binding electronic signature under the federal ESIGN Act and applicable UETA, with the same effect as a handwritten signature. We record the version you accepted and the date and time of your acceptance as evidence of this signature.

21. Entire agreement; severability; contact

These Terms and the Privacy Policy are the entire agreement between you and GraySuit regarding the Platform. If any provision is held unenforceable, the remaining provisions stay in effect. Questions? Email graysuitlegal@gmail.com.
